These Terms & Conditions (“Terms”) govern your access to and use of the STEMCIERGE website, digital tools, content and services. STEMCIERGE is operated by Growth Ronin LLC, a Wyoming limited liability company doing business as STEMCIERGE (“STEMCIERGE,” “we,” “us,” or “our”).

By accessing or using stemcierge.com, submitting information, using our tools, requesting our services or otherwise indicating your acceptance of these Terms, you agree to be bound by them.

STEMCIERGE does not control the professional judgment, clinical decisions or medical practices of independent healthcare providers. No healthcare provider becomes an employee, agent or representative of STEMCIERGE solely because that provider is introduced, referenced or accessible through our services.

STEMCIERGE may provide information concerning healthcare providers or help users identify providers that may be relevant to their stated needs, preferences or circumstances. Any provider identified or introduced through STEMCIERGE should be considered an option for further evaluation rather than a guarantee that the provider, clinic or treatment is appropriate for you.

The inclusion, selection, discussion or introduction of a healthcare provider does not constitute a guarantee of medical quality, treatment safety, regulatory status, treatment effectiveness, provider performance, treatment eligibility or provider acceptance.

Healthcare providers may change their physicians, clinical practices, protocols, facilities, pricing, policies or treatment offerings without notice to STEMCIERGE. Users remain responsible for making informed decisions in consultation with appropriately qualified medical professionals.

Regenerative medicine, stem cell therapy, cellular therapies, biologic treatments and related fields continue to evolve. Scientific evidence, regulatory status, clinical practice, terminology and treatment availability can differ substantially depending on the therapy, medical condition, provider and jurisdiction.

Information generated by the STEMCIERGE Stem Cell Therapy Cost Calculator or any similar tool is an estimate and does not constitute a binding quotation, medical assessment, treatment recommendation, guarantee of treatment availability or guarantee of final pricing.

Only the relevant healthcare provider can provide a final quotation or contractual price for medical treatment or related services.

We aim to provide information that is useful, responsible and current, but medical evidence, provider offerings, regulations, pricing and healthcare markets may change over time.

STEMCIERGE does not represent or warrant that every item of information available through the website or our services will always be complete, current, error-free, universally applicable or suitable for every user or jurisdiction.

By providing contact information and requesting communication from STEMCIERGE, you authorize us to contact you regarding your inquiry and requested services through reasonable communication channels, including email, telephone, WhatsApp or other messaging services you use to contact us or expressly request.

You may request that we stop non-essential marketing communications at any time, although service-related communications may continue where reasonably necessary to respond to an active inquiry, provide a requested service or complete an ongoing interaction.

The existence of such a commercial relationship does not make STEMCIERGE the healthcare provider and does not transfer responsibility for medical evaluation, clinical decision-making, treatment recommendations or patient care away from the treating healthcare professional. Where applicable law requires additional disclosure of a material commercial relationship, STEMCIERGE will provide such disclosure as appropriate.

These Terms do not disclose confidential commercial arrangements, compensation structures, provider agreements, internal selection processes or other proprietary business information except where disclosure is legally required.

Unless expressly stated otherwise, medical and related healthcare services are contracted directly between you and the applicable healthcare provider. Provider charges, deposits, payment schedules, financing arrangements, cancellation rules, refunds and other commercial terms are governed by the provider's own policies and agreements.

STEMCIERGE is not responsible for changes in provider pricing, provider cancellation policies, medical-service refunds, billing disputes between you and a provider, treatment cancellations initiated by a provider, or the financial failure or cessation of operations of an independent provider. You should review and understand a provider's payment, cancellation and refund policies before making any payment or committing to treatment.

Some users may choose to receive healthcare outside their country of residence. International medical travel can involve additional considerations, including travel eligibility, immigration and visa requirements, medical fitness to travel, insurance coverage, local laws, healthcare regulation, continuity of care, follow-up treatment, transportation, accommodation and travel disruption.

Unless expressly agreed otherwise, you remain responsible for your travel documents, immigration requirements, insurance arrangements, personal travel decisions and compliance with applicable laws. STEMCIERGE does not guarantee entry into any country, travel availability, visa approval, insurance coverage or a particular travel outcome.

STEMCIERGE may reference, introduce or facilitate access to independent third-party services, which may include healthcare providers, laboratories, travel providers, accommodation providers, transportation companies or other businesses.

Unless expressly stated otherwise, STEMCIERGE does not own or control these third parties. Your relationship with a third party may be governed by separate agreements, prices, policies and terms.

STEMCIERGE is not responsible for the acts, omissions, services, representations or contractual performance of independent third parties except to the extent that applicable law does not permit such responsibility to be excluded or limited.

Unless otherwise stated, the STEMCIERGE website and its original content, branding, design, research, data compilations, reports, databases, structured datasets, pricing analyses, evaluation frameworks, methodologies, graphics, visual assets, calculators, digital tools, website functionality, trademarks and other proprietary materials are owned by or licensed to Growth Ronin LLC and are protected by applicable intellectual-property laws.

Access to STEMCIERGE does not transfer ownership of any intellectual property to you. Publicly available content may be used for ordinary personal and non-commercial purposes subject to these Terms, but no broader license is granted unless expressly provided in writing.

You may not use STEMCIERGE, its website, services, content or data in a manner that violates applicable law, interferes with our rights or systems, or misappropriates our intellectual property or proprietary information.

Without prior written permission, you may not systematically scrape, crawl, harvest or extract content or data from our website; copy or reproduce substantial portions of our research, databases or structured information; use automated systems to collect information beyond ordinary search-engine indexing; use STEMCIERGE content or data to build, populate, improve or benchmark a competing database, directory, calculator, evaluation system or commercial service; reverse engineer or attempt to reproduce proprietary digital tools, frameworks or functionality; circumvent technical restrictions or access controls; use our materials for unauthorized commercial exploitation or competitive intelligence; misrepresent STEMCIERGE content as your own; remove proprietary notices; attempt unauthorized access to our systems; introduce malicious software; interfere with website operation; impersonate another person or organization; or use our services for fraudulent, unlawful or abusive purposes.

STEMCIERGE does not control external websites and is not responsible for their content, availability, security, accuracy, terms or privacy practices.

Our collection, use, disclosure and protection of personal information are governed by the STEMCIERGE Privacy Policy, which forms part of the terms governing your use of our services.

Where additional consent or authorization is required for processing sensitive, medical or health-related information, the relevant consent or authorization will apply in addition to these Terms.

Except for warranties, guarantees or rights that cannot legally be excluded, STEMCIERGE makes no representation or warranty concerning continuous availability, uninterrupted operation, error-free functionality, completeness of third-party information, availability of a particular provider, treatment eligibility, treatment effectiveness, a particular medical outcome, a particular financial outcome or a particular travel outcome.

Nothing in these Terms is intended to exclude any warranty, statutory guarantee or other legal right that applicable law does not permit to be excluded.

To the maximum extent permitted by applicable law, Growth Ronin LLC, STEMCIERGE and their officers, employees, contractors and representatives will not be liable for indirect, incidental, consequential, special, exemplary or punitive damages arising from or relating to use of or inability to use STEMCIERGE, reliance on informational content, decisions regarding medical treatment, actions or omissions of independent healthcare providers, treatment outcomes, third-party services, international travel, data loss, website interruption or third-party pricing changes.

STEMCIERGE is not responsible for medical malpractice, professional negligence or other clinical acts or omissions of independent healthcare providers.

To the extent permitted by law, STEMCIERGE's responsibility is limited to losses directly resulting from its own acts or omissions for which liability cannot lawfully be excluded or limited. Nothing in these Terms excludes or limits liability where doing so would be prohibited by applicable law.

Nothing in these Terms is intended to exclude, restrict or modify a consumer right, statutory guarantee, remedy or protection that cannot lawfully be excluded. Where mandatory consumer-protection laws apply, those rights prevail over any conflicting provision of these Terms.

If Australian Consumer Law applies to services supplied to you, certain consumer guarantees may apply automatically and cannot be excluded by these Terms.

If you are a consumer in the European Economic Area or United Kingdom, you may retain mandatory consumer protections provided by laws applicable to you regardless of the governing-law provisions below.

Similar mandatory consumer protections may apply in other jurisdictions, and nothing in these Terms is intended to waive rights that applicable law does not permit you to waive.

To the extent permitted by applicable law, you agree to indemnify and hold harmless Growth Ronin LLC and STEMCIERGE from claims, losses, damages, costs or liabilities reasonably arising from your unlawful use of the website or services, your material violation of these Terms, information or materials submitted by you without appropriate authorization, or your infringement of another party's intellectual-property or other legal rights.

This provision does not require you to indemnify STEMCIERGE for liability resulting from STEMCIERGE's own conduct where such liability cannot lawfully be transferred, excluded or limited.

We may suspend, restrict or terminate access to some or all STEMCIERGE services where reasonably necessary, including where these Terms are materially violated, the website or services are misused, fraudulent or abusive activity is suspected, security or legal concerns arise, or continuing to provide a service is no longer reasonably practicable.

Termination or suspension does not affect provisions that by their nature are intended to survive, including intellectual-property provisions, limitations of liability, dispute provisions and other rights or obligations that accrued before termination.

STEMCIERGE may modify, update, suspend, replace or discontinue website features, content, tools or services from time to time. We do not guarantee that a particular provider, destination, treatment category, research resource, digital tool or service will remain available indefinitely.

Where you have separately paid STEMCIERGE for a specific service, any additional contractual terms applicable to that service will also govern that relationship.

We may update these Terms periodically to reflect changes to our services, business, technology, legal requirements or regulatory obligations. The current version will be published on this page with an updated Last Updated date.

Where legally required, we may provide additional notice before material changes become effective. Your continued use of STEMCIERGE following the effective date of an updated version constitutes acceptance of the revised Terms to the extent permitted by applicable law.

Except where mandatory consumer law requires otherwise, these Terms are governed by the laws of the State of Wyoming, United States, without regard to conflict-of-law principles.

This governing-law provision does not deprive consumers of mandatory statutory protections that cannot lawfully be waived under the laws applicable to them.

If a dispute arises relating to STEMCIERGE or these Terms, we encourage you to contact us first so that the matter can be addressed informally.

To the extent permitted by applicable law, disputes that cannot be resolved informally will be subject to the jurisdiction of the appropriate state or federal courts located in Wyoming, United States.

Where applicable consumer law gives you the right to bring proceedings in another jurisdiction or prevents exclusive jurisdiction from being imposed, those mandatory rights remain unaffected.

Your use of STEMCIERGE does not create a partnership, joint venture, employment relationship, fiduciary relationship or agency relationship between you and Growth Ronin LLC.

Similarly, the inclusion, discussion or introduction of a healthcare provider does not, by itself, create an agency, partnership, employment or joint-venture relationship between STEMCIERGE and that provider.

If any provision of these Terms is found to be invalid, unlawful or unenforceable, that provision will be enforced to the maximum extent permitted by law or severed where necessary. The remaining provisions will continue in full force and effect.

A failure by STEMCIERGE to exercise or enforce a right under these Terms does not constitute a waiver of that right. Any waiver must be expressly made by an authorized representative of Growth Ronin LLC.

These Terms, together with our Privacy Policy and any additional terms, notices or consents expressly applicable to a particular service, constitute the agreement governing your use of STEMCIERGE. If specific service terms conflict with these general Terms, the specific service terms will govern that service to the extent of the conflict.
